Course Outline and Method

憲法、民法、商法・会社法の基本的論点に関する事例問題を素材に、論点抽出、規範分析、規範定立、当てはめを行う。
授業方法としては、受講生に事前に答案を提出してもらい、授業内で受講生と質疑をしながら解説を加える。提出方法は初回に指示する。

取締役会決議と代表取締役の代表権、取締役の責任追及、株主権の行使と株主総会決議、新株発行、組織再編または会社の設立
